In response to our clients' expansion into global markets, our attorneys have advised and represented our clients in connection with business activities and transactions throughout the world, including Western and Eastern Europe, Mexico, Canada, Japan and the Far East, Israel and the Middle East, and Australia. Almost every commercial venture or transaction is affected by the ever-growing impact of federal and state regulatory laws, including federal and state tax laws, securities laws and regulations, and labor and employment laws. We regularly assist our clients with on-going regulatory compliance and reporting requirements. Commercial and Private Lending

Our firm represents lenders and borrowers in connection with asset and real estate based lending and leasing, for both senior and subordinated debt financing. We are also experienced in venture capital lending. We regularly act as special opinion counsel for many out of state lenders and borrowers.

Probate, Estate and Trust Administration, Estate Planning

Our lawyers assist our clients with every phase of probate, estate and trust administration. We regularly advise and serve our clients' needs in the areas of wills, revocable and irrevocable trusts including life insurance trusts, powers of attorney, gift and income taxation, charitable giving, deferred compensation, private foundations, family partnerships, pre- and post-nuptial agreements, and business succession. Our firm offers a full range of services, from the simple will to the sophisticated estate plan, designed to meet our clients' needs and objectives.

Real Estate Law and Land Use

Our clients include local and national commercial and residential builders, developers, banks and commercial lenders, mortgage brokers, commercial and residential real estate brokers, as well as condominium associations, homeowners and tenants. We assist our private and institutional clients in all aspects of real estate law, taxation and finance, including the acquisition and development of properties; zoning, municipal planning and land use; construction, bridge and permanent financing; leasing; tax assessments and appeals; environmental impact and compliance; liquor licensing; and sales, exchanges, and dispositions. Our attorneys have extensive experience in all types of real estate projects, whether single- or multi-family homes; subdivisions; residential and office condominium; office buildings; retail and shopping centers; industrial parks and buildings; low-income and senior housing, skilled care and assisted living facilities; and recreational, vacation and sports properties and facilities. Our firm also represents cemeteries, and regularly assists these clients with their special needs in connection with development, licensing, trusts, contract negotiation and drafting, sales and acquisitions.

Securities Regulation

We provide services in all areas of securities regulation, reporting and compliance, including private placements and public offerings of debt and equity securities, hedge funds, proxy solicitations, venture capital investment and leveraged buy-outs, broker-dealer and investment advisor registration and regulation, and federal and state securities reporting requirements.

Tax Exempt Organizations

We provide legal services in connection with the organization, application for exemption and operation of tax exempt organizations, including charitable organizations, business leagues and other non-profit entities. In one case, our attorneys successfully designed, implemented and received a favorable ruling from the Internal Revenue Service for a system-wide hospital reorganization involving many separate tax exempt and taxable corporations. In addition, we encourage our attorneys to donate their time to chair or serve on the boards of trustees for various local, national and international charitable organizations.

Taxation

Our practice in this area extends to all federal, state, and local tax matters, including all aspects of corporate, partnership, and individual taxation; estate and gift taxation; real and personal property taxes; sales and use taxes; single business taxes; intangible taxes; and tax reporting. We represent clients before federal, state and local governmental agencies in connection with all tax matters including penalty disputes and appeals.
